    1. Acceptance of Terms

    By accessing or using the Selectronyx FairSpec platform (the "Service"), operated by Iconicorp, trading as Selectronyx (KvK 96235950) ("Selectronyx", "we", "us", "our"), you agree to be bound by these Terms. If you are entering into this agreement on behalf of a company or legal entity, you represent that you have the authority to bind such entity.

    2. Nature of the Service (Indicative guidance)

    FairSpec provides supply chain intelligence, risk analysis, and responsible-sourcing impact assessment ("FairSpec Ratings").

    No Regulatory Advice: FairSpec grades are indicative guidance based on algorithmic analysis. They are not a compliance certification, legal advice, or regulatory certification (such as CE, UL, or FCC), and they are not a guarantee of a component's performance.

    Distributor-declared statuses: RoHS, REACH and related status signals shown in FairSpec are distributor-declared (including via Octopart and similar sources). They are not independent compliance determinations by Selectronyx.

    Verification: You acknowledge that you are responsible for independently verifying all critical compliance data (including RoHS, REACH, the current ECHA SVHC Candidate List, and Export Controls) with the original manufacturer before manufacturing or shipping products.

    2a. Instant Check (no account)

    The public Instant Check returns distributor-declared findings for a single manufacturer part number (for example lifecycle, RoHS, REACH, sourcing, and a datasheet or Octopart link when available). It does not return a FairSpec score, grade, or tier. FairSpec scores require a free Basic account (or a paid plan).

    Statuses shown in the Instant Check are normalised third-party data. Selectronyx does not verify them against manufacturer declarations. They carry no directive version, exemption detail (including Annex references or expiry dates), substance identification, or source-document reference beyond what the distributor feed supplies.

    Any retrieval date shown is when we fetched the value from the data provider, not when the underlying declaration was made or last reviewed.

    You must not rely on the Instant Check as a compliance determination, regulatory certification, or legal advice. Always confirm critical compliance data with the original manufacturer before manufacturing or shipping products.

    3. User Accounts & Seats

    Security: You are responsible for safeguarding your credentials.

    Seat Licensing: Accounts are priced per "Seat" or "User." Sharing login credentials with individuals outside your licensed seat count is strictly prohibited and grounds for immediate termination.

    Organization Usage: Usage limits (e.g., Active Monitored Parts) are pooled at the Organization level. You agree not to create multiple free accounts to circumvent Tier limits.

    4. Data Rights & Usage

    Your Data: You retain full ownership of the Bill of Materials (BOM) files you upload. You grant Selectronyx a worldwide, non-exclusive license to process, parse, and analyze this data solely for the purpose of providing the Service to you.

    Aggregated Data: You agree that Selectronyx may use anonymized, aggregated usage data to improve our scoring algorithms and market intelligence features, provided no specific user or BOM can be identified.

    5. Subscription, Payments, and Refunds

    Billing: Subscription fees are billed in advance on a monthly or annual basis via our payment processor (Stripe).

    Cancellation: You may cancel your subscription at any time via your account settings. Your access will continue until the end of the current billing cycle.

    Refund Policy: Since FairSpec provides immediate access to proprietary data and analysis, all sales are final. We do not offer refunds for partial months or unused service.

    6. Fair Use & Prohibited Conduct

    You agree not to:

    • Use automated systems (bots, scrapers) to access the Service.
    • Reverse engineer the FairSpec scoring methodology.
    • Resell, sublicense, or redistribute the data or Ratings to third parties without an Enterprise license.
    6a. Usage Limits & Rate Limiting

    Each subscription tier includes specific usage limits to ensure fair access and system stability. Exceeding these limits may result in temporary throttling, with notification to the account owner, until the limit resets. Persistent overage may be discussed with the account owner as part of a tier review.

    Enterprise tier limits are set per engagement based on contract; the values shown are starting points; higher limits are available for customers with portfolio-level requirements. Contact us to discuss your operation's specific needs.

    Hourly limits reset at the start of each hour. Daily limits reset at midnight UTC, and monthly limits reset on the first of each calendar month (UTC). If you consistently need higher limits, consider upgrading your subscription.
    7. Disclaimers & Limitation of Liability
    The Service is provided "AS IS".

    To the maximum extent permitted by law: Selectronyx disclaims all warranties regarding the accuracy, availability, or completeness of the data. Liability Cap: In no event shall Selectronyx be liable for any indirect, consequential, or punitive damages (including loss of profits, production line stoppages, or regulatory fines). Our total liability shall be limited to the amount you paid for the Service in the 12 months preceding the claim.

    8. Data Privacy & Security

    We process personal data in accordance with our Privacy Policy and applicable data-protection law, including the EU General Data Protection Regulation (GDPR) and applicable Dutch data-protection law. We apply encryption in transit (TLS 1.3) and at rest (AES-256), role-based access controls, and regular backups. Our information-security practices are aligned with the principles of ISO/IEC 27001 (we are not certified). We do not sell your identifiable BOM data to third parties.

    8a. Your Data-Protection Rights

    Subject to applicable law, you may request access to, correction of, deletion of, or a portable copy of your personal data, and may object to or restrict certain processing. To exercise these rights, contact privacy@selectronyx.com. We respond within one month. You also have the right to lodge a complaint with your supervisory authority (in the Netherlands, the Autoriteit Persoonsgegevens).

    8b. Sub-processors & International Transfers

    We use vetted sub-processors to deliver the Service. Our current sub-processors are listed in our Privacy Policy. Each is bound by a data-processing agreement. Where data is transferred outside the EEA, we rely on appropriate safeguards such as Standard Contractual Clauses.

    8c. Data Retention & Breach Notification

    We retain personal and usage data only as long as necessary to provide the Service and meet legal obligations; usage analytics are retained for up to 365 days. In the event of a personal-data breach likely to result in a risk to your rights, we will notify the relevant supervisory authority and affected users without undue delay and within 72 hours where required.

    9. Governing Law

    These Terms are governed by the laws of the Netherlands. Any disputes shall be resolved by the competent court in the Netherlands.
